Overview
3-Year Share Count Change measures how a company’s diluted weighted-average share count has changed over approximately three fiscal years.
A decreasing share count generally means that fewer shares are outstanding on a diluted weighted-average basis, while an increasing share count indicates that the number of shares has grown.
StockZuse uses this metric to account for the effect that changes in share count can have on existing shareholders.
Formula
StockZuse calculates 3-Year Share Count Change as:
![]()
The result is expressed as a percentage.
For example, if a company reports 2.42 billion diluted weighted-average shares in the latest fiscal year and 2.48 billion three fiscal years earlier, its share count has decreased by approximately 2.47%.
A negative result indicates that the diluted share count decreased. A positive result indicates that the diluted share count increased.
How StockZuse Uses the Metric
StockZuse uses 3-Year Share Count Change as a Business Quality metric within the ZuseScore.
A declining diluted share count receives more points because the company’s earnings and ownership are being distributed across fewer shares. An increasing share count receives progressively fewer points as the amount of dilution increases.
The scoring system limits the additional benefit assigned to large share-count reductions. A reduction of 5% or more receives the maximum points for this metric.
ZuseScore Point System
3-Year Share Count Change contributes a maximum of 10 points to the ZuseScore.
| 3-Year Share Count Change | Points |
|---|---|
| Decrease of 5.00% or more | 10 / 10 |
| Decrease of less than 5.00%, or unchanged | 8 / 10 |
| Increase of more than 0.00% through 2.00% | 7 / 10 |
| Increase of more than 2.00% through 5.00% | 5 / 10 |
| Increase of more than 5.00% through 10.00% | 3 / 10 |
| Increase of more than 10.00% through 20.00% | 1 / 10 |
| Increase of more than 20.00% | 0 / 10 |
If sufficient diluted weighted-average share history is unavailable, the metric is not scored. Consistent with the ZuseScore methodology, unavailable metrics reduce the possible-point denominator rather than receiving zero points.
Interpretation
Changes in share count can affect an investor’s proportional ownership of a company.
A declining diluted share count can result from share repurchases and means that company results are spread across fewer shares. Conversely, issuing additional shares can increase the diluted share count and reduce each existing share’s proportional ownership.
However, a change in share count does not by itself indicate whether a company’s capital-allocation decisions were beneficial. For example, companies may issue shares to fund acquisitions, compensate employees, raise capital, or pursue other business objectives.
For this reason, StockZuse treats 3-Year Share Count Change as one component of the broader ZuseScore rather than as a standalone investment conclusion.
Data Used
StockZuse uses Diluted Weighted-Average Shares reported for annual fiscal periods.
The calculation compares the latest available annual diluted weighted-average share count with the annual observation three fiscal years earlier. StockZuse uses the fiscal-period sequence rather than assuming that three years always represents an exact number of calendar days.
The exact share counts and fiscal periods used for a particular analysis can be reviewed in the 3-Year Share Count Change Metric Score Detail window in StockZuse.
